美敦力的MiniMed交换报价超额认购;接受率18.3%

Medtronic (MDT) said on Monday that its exchange offer for MiniMed Group (MMED) shares was oversubscribed when it expired on October 9, 2026.
The company will exchange 55.0M Medtronic shares for its remaining 252.8M MiniMed shares at a ratio of 4.5939 MiniMed shares per Medtronic share.
About 298.0M Medtronic shares were tendered, but only an estimated 18.3% will be accepted on a pro rata basis. Eligible odd-lot shareholders are exempt from proration.
The final proration factor is expected on October 14, after the guaranteed delivery period ends.
Once completed, the exchange will leave Medtronic with no remaining ownership in MiniMed.
On the market side, the Medtronic shares rose ~3% to ~$91 in the pre-market session, while MiniMed shares fell ~3% to ~$19.13.
