Fathom Holdings Inc. (FTHM) and Neighborhood Intelligence (NXH) on Monday said the companies mutually agreed to terminate the merger agreement between them.
"After careful consideration of the proposed transaction, the Boards of both companies concluded that proceeding with a merger at current valuations would not appropriately reflect the fair value of either company for its shareholders," the companies said.
Looking forward, both companies intend to continue exploring ways to work together, with areas under consideration including data sharing and the use of each company’s complementary businesses, technology, relationships and other assets, among others.
Neighborhood Intelligence, formerly known as Bed Bath & Beyond, said it would acquire Fathom Holdings in an all-stock transaction for $53.38M.
Last month, Neighborhood Intelligence has also decided not to proceed with its planned acquisition of F9 Brands after determining F9 was unable to satisfy all closing requirements within the expected timeframe.
Separately, following a review by its Board and management and discussions with shareholders, Neighborhood Intelligence determined that retaining ownership and control of its blockchain and digital asset investments offers its shareholders "the greatest opportunity to participate in their potential future value."
NXH +1.8% at $2.81 premarket, while FTHM shares were down 1.29%.
