IM Cannabis收购Space Defense Innovations 51%的股份

IM Cannabis (IMCC) said on Wednesday it entered a non-binding Letter of Intent to acquire a 51% stake in Space Defense Innovations.
The proposed acquisition would broaden the company's business portfolio beyond its medical operations to technology-focused businesses.
The company plans to acquire the stake through common shares and pre-funded warrants plus a 24-month seller loan at 9% annual interest with 100% warrant coverage.
The deal would give IMCC the option to buy the remaining 49% of SDI within five years and control most of its board.
IMCC also plans to extend up to €2.3M in financing to SDI, which could later be converted into an equity stake.
The companies expect to negotiate definitive agreements within 60 days.
The transaction is subject to approvals and other closing conditions.
