Entera Bio (NASDAQ:ENTX) said on Monday it priced an oversubscribed $275M private placement led by existing investor BVF Partners, with participation from several healthcare-focused institutional investors.
The company will issue 122.96M ordinary shares and 11.84M pre-funded warrants at a purchase price of $2.04 per share.
The offering is expected to close on or about July 28.
Pursuant to the placement, BVF will receive the right to designate two directors to Entera's board, subject to applicable legal and Nasdaq requirements.
The net proceeds, together with existing cash, are intended to fund the Phase 3 development of EB613 through the planned FDA New Drug Application submission.
The company also plans to use the proceeds to advance EB612 into Phase 1 development with OPKO Health for hypoparathyroidism, as well as for working capital and general corporate purposes.
The financing is expected to extend its cash runway into 2030.
Leerink Partners is acting as the lead placement agent for the private placement.
