Quarterhill收购Conduent收费解决方案业务

Quarterhill (QTRHF) has agreed to acquire substantially all of the tolling solutions business of Conduent Business Services and certain affiliates for $70M in cash, subject to customary adjustments, plus Quarterhill shares representing 7% of the company's outstanding stock at closing.
The acquisition is expected to nearly triple Quarterhill's tolling revenue.
Following the deal's completion, the combined company is expected to have an order backlog of about $2B and generate more than $400M in annual revenue, with an adjusted EBITDA margin of 10% to 15%, after planned synergies.
The transaction is expected to close in the fourth quarter of 2026.
