Barnwell Industries (BRN) entered into a private placement for the purchase and sale of 2.2 million shares of common stock at a purchase price of $1.10 per share, for expected gross proceeds of ~$2.4 million.
Participants in the financing include Bradley Radoff, the lead investor, and other accredited investors, including certain members of the company's Board of Directors.
Purchasers of the stock in PIPE financing, other than members of the company's Board of Directors or management and one other purchaser, also will receive a warrant to purchase one share of common stock for every two shares of common stock purchased by such purchaser. The exercise price of those warrants will be $1.65.
The closing of the transaction is expected to occur on or around November 28, 2025
BRN stock traded about 2.7% higher on Tuesday during pre-market trade.
