Pure Harvest签署收购Mixie IP控股、Mixie Labs的意向书

Pure Harvest Corporate Group (OTCPK:PHCG) has signed a letter of intent to acquire 100% of the membership interests of Mixie IP Holdings and Mixie Labs.
Under the terms of the LOI, Pure Harvest will aquire 100% of the membership interests of Mixie IP and Mixie Labs in exchange of a combination of PHCG preferred equity (Series A and Series B) and warrants. No anticipated cash component is involved in the transaction.
Mixie IP and Mixie Labs are intended to become wholly owned subsidiaries of PHCG.
Following closing, Darshan Sedani and Teodros Gessesse are expected to join the PHCG Board of Directors subject to corporate and regulatory requirements and to enter into advisory agreements to support integration and commercialization.
