Warburg Pincus将以7亿欧元收购德国PSI Software

- The offer of €45 per share represents a ~50% premium over PSI’s Thursday closing price of €30.02.

- Delisting from the German stock exchange is planned post-acquisition.
- Warburg Pincus will retain PSI’s current management and Berlin HQ.
- Agreements already secured for 28.5% of PSI equity, including partial reinvestment by an unnamed anchor shareholder.
- Norman Rentrop owns 23% and E.ON (OTCPK:EONGY) 18%; E.ON will retain its stake and remain a strategic investor.
- PSI reported a €15.2M EBIT loss in 2024 due to the cyberattack.
