Toogood Gold (TSXV:TGC:CA) announced on Thursday a non-brokered private placement to raise gross proceeds of up to C$2 million through the issuance of 6.67 million units at C$0.30 per unit.
Each unit will comprise one common share and one half of one common share purchase warrant. Each warrant will be exercisable at a price of C$0.45 into one common share for a period of two years from the date of issuance.
Toogood intends to use the proceeds of the offering for working capital and ongoing and future exploration programs at the Company's flagship Toogood Gold Project, located on New World Island, Newfoundland.
The offering is expected to close on or about October 22, 2025.
The company may, in its sole discretion, exercise an over-allotment option pursuant to which it may increase the size of the offering to up to 10 million units for aggregate proceeds of up to C$3 million.
