- Alpha Cognition (NASDAQ:ACOG) has priced its underwritten public offering of 5.6M common shares (or pre-funded warrants in lieu thereof), at $6.25 per share for gross proceeds of $35.0 million.
- The underwriter has a 30-day option to purchase up to an additional 840,000 common shares.
- The net proceeds will be used for the acceleration of commercial launch, with an emphasis on sales expansion, marketing investment, enhancing payer coverage, and reimbursement infrastructure. The company believes that the net proceeds will accelerate the commercialization of ZUNVEYL (Benzgalantamine), enabling them to capitalize on early commercial learnings.
- The offering will close on October 2, 2025.
- The company’s total cash position expected to be approximately $70 million following closing of the offering.
