2025-09-17 18:26
- Axos Financial (NYSE:AX) priced a public offering of $200 million of 7.00% fixed-to-floating subordinated notes due 2035.
- The notes will pay 7% interest semi-annually beginning on April 1, 2026. From and including October 1, 2030 to, but excluding October 1, 2035, interest will accrue at a floating rate per annum equal to the then-current 3-month term SOFR + 379 bps, paid quarterly. The notes are callable on any interest payment date at par starting on October 1, 2030.
- The proceeds from the sale are expected to be used to repay its existing subordinated notes due 2030, of which $175 million were issued (and which are set to re-price to an interest rate of approximately nine percent), and to support growth initiatives at the company’s subsidiaries and for general corporate purposes.
