Rock Tech Lithium (OTCQX:RCKTF) on Monday said it has received irrevocable subscription agreements for aggregate gross proceeds of $4.8 million pursuant to a brokered and non-brokered private placement offering of units of the company at a price of $0.90 per unit.
Each unit will consist of one common share of the company and one common share purchase warrant of the company. Each warrant will be exercisable immediately upon issuance to purchase one common share of the company at an exercise price of $1.17, and will expire on the three-year anniversary of the original issuance date.
The brokered offering and the non-brokered offering are expected to close on or about September 3, 2025 and may close in one or more tranches.
Additionally, the company intends to offer up to 2.97M units for aggregate gross proceeds of up to $2.678 million, on a non-brokered basis.
The LIFE offering is expected to close on or about Sept 3.
The company may upsize the offering by an additional $2.5 million, subject to investor demand, for aggregate gross proceeds of up to $10 million.
The company intends to use the proceeds from the offering to fund the advancement of the Guben Converter and for general corporate and working capital purposes.
