Netcapital (NASDAQ:NCPL) is raising ~$3M through a registered direct offering of 641,712 shares at $4.675/share.
In a concurrent private placement, the company is issuing unregistered short-term warrants to buy an equal number of shares at $4.55/share.
Warrants are immediately exercisable and expire 24 months after the registration statement becomes effective.
Potential additional proceeds from warrant exercises could total ~$2.9M.
Net proceeds will go toward repaying promissory notes and general working capital.
The offering is expected to close on or about July 17, 2025.
NCPL shares fell over 30% on Wednesday.
