Nexalin Technology (NASDAQ:NXL) shares fell 21.5% premarket on Monday after it priced an offering of 3.85M shares of its common stock at $1.30 a share.
In addition, Nexalin has granted the underwriters a 45-day option to purchase up to 577,500 additional shares.
The gross proceeds are expected to be around $5M, before deducting underwriting discounts and commissions and other offering expenses. Nexalin intends to use the net proceeds from the offering for working capital and other general corporate purposes.
The offering is expected to close on or about May 6, 2025, subject to customary closing conditions.
