Leidos Holdings, Inc.'s (NYSE:LDOS) stock rose 3.3% last week, but insiders who sold US$569k worth of stock over the last year are probably in a more advantageous position. Holding on to stock would have meant their investment would be worth less now than it was at the time of sale. Thus selling at an average price of US$103, which is higher than the current price, may have been the best decision.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Independent Director, Miriam John, made the biggest insider sale in the last 12 months. That single transaction was for US$520k worth of shares at a price of US$104 each. So what is clear is that an insider saw fit to sell at around the current price of US$101. While insider selling is a negative, to us, it is more negative if the shares are sold at a lower price. Given that the sale took place at around current prices, it makes us a little cautious but is hardly a major concern.

Another way to test the alignment between the leaders of a company and other shareholders is to look at how many shares they own. Usually, the higher the insider ownership, the more likely it is that insiders will be incentivised to build the company for the long term. It appears that Leidos Holdings insiders own 0.6% of the company, worth about US$87m. While this is a strong but not outstanding level of insider ownership, it's enough to indicate some alignment between management and smaller shareholders.
It doesn't really mean much that no insider has traded Leidos Holdings shares in the last quarter. We don't take much encouragement from the transactions by Leidos Holdings insiders. But we do like the fact that insiders own a fair chunk of the company. So these insider transactions can help us build a thesis about the stock, but it's also worthwhile knowing the risks facing this company. Case in point: We've spotted 1 warning sign for Leidos Holdings you should be aware of.
