實地考察健康增加對診所業務剝離的投資；推迟股東大會

06:49 AM EDT, 06/15/2022 (MT Newswires) -- Field Trip Health Ltd. (FTRP.TO, Nasdaq: FTRP) overnight Tuesday said it will invest more than previously planned in Field Trip Health & Wellness Ltd., a new company to be created by spinning out its clinics business.

The company will invest $9.81 million in Field Trip H&W by subscribing to 19.615 million shares, up from $5.0 million announced on April 29. This will represent about 21.79% of the issued and outstanding shares of Field Trip H&W.

Aggregate gross proceeds to Field Trip H&W in the concurrent financing will equal $20.0 million. Of this, $17.8 million will be raised under the share offering and $2.2 million under the subscription receipt offering.

Field Trip said it is increasing its investment in the share offering because challenging market conditions affected uptake of the subscription receipt offering and because it believes in the long-term prospects of the clinics business.

The company also said it has postponed its special meeting from June 20 to June 27 in order to provide shareholders adequate time to consider the new information as a result of this change.

Field Trip expects the transaction to complete in mid-July. It said 2.1 million warrants are listed on the Toronto Stock Exchange and expiring on July 5. If the transaction is completed after July 5, these warrants, unless exercised prior to the expiry date, will not be adjusted and will cease to be an obligation of Field Trip or Field Trip H&W, it said.
