The purchase price represents a 366% premium to SOC Telemed's closing share price Wednesday of $0.64.

Thee transaction includes a 30-day "go-shop" period, which allows SOC Telemed to solicit and weigh alternative acquisition proposals from other suitors, according to the statement.

The deal is slated to be completed in Q2.

SOC Telemed's shares climbed by 337% in premarket trading.
