TSYS将以16.5亿美元收购德国IOM Isotope,以扩大放射性辐射足迹

- Australian biotechnology company Telix Pharmaceuticals (TLX) has agreed to acquire Germany's ITM Isotope in a $1.65B deal, the companies said on Monday, with the deal expected to strengthen Telix’s position as a vertically integrated radiopharmaceutical company with the capabilities required to develop, manufacture, and deliver innovative treatments to patients globally.
- Under the terms of the agreement and subject to shareholder approval, Telix will acquire 100% of ITM for $1.65B upfront on a cash-free, debt-free basis, comprising $1.25B in Telix stock, $302M in assumed net debt, and $96M in management rollover equity and transaction costs.
- The combined organization is expected to generate unaudited pro forma 2026 revenue and income exceeding $1.3B, based on management estimates. ITM’s radioisotope manufacturing business is profitable and generates cash flow.
- Continued growth from manufacturing, cost savings and further targeted synergies and pipeline optimization are expected to support a positive EBITDA contribution in 2027 and onward.
- Munich-based ITM Isotope is a global player in radioisotope production and radiopharmaceutical development, Telix said. Telix managing director Christian Behrenbruch said the two companies had worked closely together for many years.
