Waldencast (WALD) said it plans to voluntarily delist its Class A shares and warrants from Nasdaq following the divestiture of Obagi Medical.
The company expects October 2 to be the last Nasdaq trading day and plans to suspend its SEC reporting obligations following the delisting.
Waldencast said the move will lower public-company costs and allow it to focus on its sole remaining brand, Milk Makeup. It expects to seek OTC trading under the ticker “MLKM,” although there is no guarantee trading will begin.
The board will also recommend renaming the company Milk Makeup plc, subject to shareholder approval.
Waldencast incurred $18.5M in central headquarters costs in 2025 and expects to eliminate a substantial portion of those costs.
The stock price slumped about 15% on Monday pre-market hours of trading.
