2026-09-02 05:21
- DigitalBridge Group (DBRG) announced on Tuesday that it plans to delist its Series H, Series I, and Series J preferred shares from the NYSE as it moves toward its acquisition by an affiliate of SoftBank Group (SFTBY).
- The company expects to become an indirect subsidiary of SoftBank after the merger closes.
- The company said the delisting will reduce the compliance costs and management resources required to maintain their NYSE listing and reporting obligations.
- It does not plan to list or register the preferred shares on another national exchange following the NYSE delisting.
- After the merger, holders of each preferred series will have the right, subject to applicable conditions, to convert their shares into cash within the specified conversion period.
