Royalty Pharma (RPRX) will provide $100M in funding to Zealand Pharma (ZLDPF) in exchange for a royalty for rusfertide (PTG-300), its candidate from the rare blood disease polycythemia vera.
Terms call for Royalty to have rights to a 1% royalty on potential future global net sales of rusfertide, as well as regulatory and commercial milestones. Zealand will maintain a right to a 0.25% royalty on annual rusfertide sales greater than $1.5B, while Royalty Pharma will retain a 0.75% royalty on sales above that amount.
The first $50 million will come at the closing of the agreement with the other half on the one-year anniversary of the signing.
Rusfertide's NDA has FDA priority review and an action date in Q3.
If approved, Takeda Pharmaceutical (TAK) is responsible for global marketing.
