Proficient Auto Logistics (PAL) priced a $75M offering of convertible senior notes due 2033.
The notes will carry a 5.50% annual interest rate and an initial conversion price of about $6.50 per share, a 27.5% premium to its August 11 closing price of $5.10.
The notes are expected to settle on August 13, 2026, and mature on August 15, 2033, unless earlier repurchased, redeemed or converted.
The company expects net proceeds of ~$71.4M, which it plans to use to refinance outstanding debt and pay premiums on capped call transactions.
The capped calls have an initial cap price of $8.93 per share and are designed to reduce potential dilution from conversions.
