Jazz Pharmaceuticals (JAZZ) announced on Monday that it will acquire privately held Actio Biosciences for $820M upfront and up to $500M in potential milestones.
The acquisition strengthens the company’s rare epilepsy portfolio with ABS-1230, a potential first-in-class therapy for KCNT1+ epilepsy with multiple FDA designations, including Fast Track, Rare Pediatric Disease, and Orphan Drug.
ABS-1230 is supported by early clinical data and has potential applications in additional genetic epilepsy indications.
The transaction is expected to close by Q4 2026, and the company plans to fund the acquisition with cash on hand and existing financing facilities.
Actio will spin out a new private company focused on rare genetic neurological diseases, with Jazz retaining a minority stake.
