Bowman Consulting (BWMN) has entered into a definitive agreement to be acquired and taken private by Bernhard Capital Partners for $43 per share in cash, representing an enterprise value of about $1B.
The purchase price represents a premium of ~58% to Bowman’s unaffected closing share price on Friday, August 7, 2026, and a 57% premium to the firm’s 30-day volume-weighted average share price.
Upon completion of the transaction, Bowman will become a privately held company, and BWMN common stock will no longer be listed on the Nasdaq Exchange.
The transaction was unanimously approved by Bowman’s board of directors and is expected to close in the fourth quarter of calendar year 2026 or the first quarter of calendar year 2027.
