- AST SpaceMobile (ASTS) announced on Wednesday that it plans to offer $1B of convertible senior notes due 2034 in a private offering.
- The initial purchasers have a 13-day option period to buy up to an additional $150M of notes.
- The senior unsecured notes will pay interest semiannually, mature on Feb. 1, 2034, and can be converted into cash, Class A shares, or a combination, with final terms to be set at pricing.
- The company plans to use part of the proceeds to fund capped call transactions to help reduce potential shareholder dilution.
- The remaining proceeds will be used to support growth initiatives, including expanding launch access and pursuing potential partnerships or acquisitions.
- Moreover, if the $150M option is exercised, AST SpaceMobile expects to use part of those additional proceeds for more capped call transactions, with the balance used for the same growth initiatives.
- The company said it currently has no agreements or understandings for any potential partnerships or acquisitions.
- On the market side, the AST SpaceMobile stock traded 13% lower at ~$57.80 in the after-hours trading session.
