Shares of Avis Budget Group (CAR) rose 3% Tuesday premarket after the car-rental company said it reached a settlement agreement with Pentwater Capital Management to resolve its pending lawsuit seeking recovery of alleged short-swing profits under Section 16(b) of the Securities Exchange Act.
Under the agreement, Pentwater will pay $650M in cash to Avis Budget, subject to court approval and customary closing conditions, including a judicial finding that the company diligently pursued the claims and that the settlement is fair, reasonable, and adequate.
