Virgin Galactic Holdings (SPCE) on Monday said it entered a privately negotiated agreement to exchange about $52.5M of its 2.50% convertible senior notes due 2027 for common stock and pre-funded warrants.
The company said the transaction will reduce outstanding 2027 notes by about 75%, from $70.4M to $17.9M, helping improve liquidity and strengthen its balance sheet ahead of planned commercial operations in the fourth quarter.
The exchange is expected to close around June 29, with the number of shares to be issued based on a five-day volume-weighted average price, subject to a floor of $3.03 and a cap of $4.09.
Stock down -6.5% in premarket trading.
