Netcapital (NCPL) acquired substantially all assets related to the NetNudge AI Agent Platform from Codesharp Corporation.
The acquisition closed on May 22, 2026, and supports Netcapital’s expansion into AI-powered technology solutions.
The deal consideration includes 600,000 shares of Series A convertible preferred stock issued at closing with a stated value of $1.50 per share.
An additional 600,000 preferred shares may be issued if the acquired business achieves $3M in cumulative GAAP revenue over 36 months.
The acquired assets include AI agent technologies for retrieval-augmented generation, workflow automation, enterprise knowledge management, analytics, and AI-assisted decision support.
Netcapital also acquired related datasets, prompts, workflows, APIs, model integrations, software systems, and intellectual property rights.
NCPL shares down 21% post-market.
