Sotera Health Company (SHC) on Wednesday said that certain affiliates of Warburg Pincus LLC and GTCR LLC are offering 25 million shares of the company’s common stock in a secondary offering.
The company said it is not selling any shares in the offering and will not receive any proceeds. It will, however, pay the expenses of the offering under its registration rights agreement.
The shares may be sold on Nasdaq, in the over-the-counter market or through negotiated transactions at market or negotiated prices.
A registration statement relating to the shares was filed with the U.S. Securities and Exchange Commission on February 7, 2024, and became effective automatically.
SHC -2.09% after hours to $15.43.
