Edge Total Intelligence (CTRL:CA) on Wednesday launched a private placement of up to 7,250 debenture units of the company for $1,000 per unit for aggregate gross proceeds of up to $7.25M.
Each debenture unit is comprised of one unsecured convertible debenture of the company in the principal amount of $1,000 and 675 subordinate voting share purchase warrants.
The debentures will have a maturity date of three years following the date of issuance and will accrue interest at a rate of 6.00% per annum during the first year following the date of issue, 8.00% per annum during the second year, and 10.00% per annum during the third year, payable on the earlier of the Maturity Date and the date of conversion.
The offering is expected to close by the end of 2025.
