Centuri Holdings Prices $160M Public Offering Of 7.44M Shares, Grants 30‑Day Option For 1.12M More; Closing Expected Nov. 14, 2025

Centuri Holdings, Inc. (NYSE:CTRI) ("Centuri" or the "Company") today announced the pricing of an underwritten public offering of 7,441,860 shares of Centuri's common stock (the "Offering"). Centuri has also granted the underwriters a 30-day option to purchase up to an additional 1,116,279 shares of Centuri's common stock. The Offering is expected to close on November 14, 2025, subject to customary closing conditions. Gross proceeds from the Offering are expected to be approximately $160 million, assuming no exercise of the underwriters' option to purchase additional shares.

Centuri intends to use the net proceeds from the Offering and the Private Placement for general corporate purposes, which may include, among other things, the funding of acquisitions and the repayment of borrowings outstanding under its current credit agreement.
