Carcetti Capital完成7.56亿美元私募，推进10亿美元以上的Hemlo金矿收购

- Carcetti Capital (TSXV:CART:CA) has upsized and closed both brokered and non-brokered private placements totaling C$756M ($542M USD) through the issuance of subscription receipts.
- The brokered offering raised C$678.5M led by Scotiabank and a syndicate of major underwriters; the non-brokered round raised C$77.8M with a $145K finder’s fee to Sprott Global.
- Each subscription receipt converts to one common share upon satisfaction of conditions related to Carcetti’s acquisition of the Hemlo Gold Mine.
- The $1.04B (C$1.4B) Hemlo acquisition from Barrick includes $875M cash, 34.6M shares, and up to $165M in gold price-linked contingent payments.
- Carcetti will pay a C$26.07M underwriter commission and has placed proceeds in escrow pending deal conditions.
- The company also announced its reactivation from the NEX Board to Tier 1 Mining Issuer on the TSX.
- If the acquisition is not completed within six months or is terminated, funds will be returned to investors with accrued interest.
