NeoVolta (NASDAQ:NEOV) entered into an asset purchase agreement on October 1, 2025, to acquire strategic assets of Neubau Energy, with closing expected by October 15, 2025.
NeoVolta concurrently appointed Amany Ibrahim as chief operating officer, both former Neubau executive.
Former COO Michael Mendik will now serve as chief product officer.
The acquisition is expected to be immediately accretive to revenue and margins.
Neubau’s 30-minute installation systems are now available under the NeoVolta brand.
The acquisition gives NeoVolta tariff-free access to advanced battery technology and expands its modular residential energy storage offerings.
Initial purchase terms include $500,000 in cash, 200,000 shares of restricted stock, unit royalties, and up to 4M additional shares tied to revenue milestones.
NeoVolta gains IP, technology, and a broader installer base, while targeting 75% lower deployment costs.
