CISO Global (NASDAQ:CISO) has filed a prospectus for the resale of up to 39.06M shares of common stock.
The shares may be issued upon conversion of 15,625 shares of Series B Convertible Preferred Stock held by B. Riley Principal Capital.
The preferred shares were issued under a Preferred Equity Purchase Agreement dated September 24, 2025.
Shares will be offered for resale by B. Riley through public or private transactions at prevailing market prices, not fixed prices.
CISO will not receive any proceeds from the resale.
