CORRECTION: Nano Labs Files $45M At-the-Market Offering Agreement with Maxim Group for Class A Ordinary Shares

We have entered into a sales agreement (the "Sales Agreement") with Maxim Group LLC ("Maxim" or the "Sales Agent"), dated August 21, 2025, relating to the sale of shares of our Class A ordinary shares, par value US$0.002 per share, offered by this prospectus supplement. In accordance with the terms of the Sales Agreement, under this prospectus supplement, we may offer and sell shares of our Class A ordinary shares having an aggregate offering price of up to US$45,000,000 from time to time through Maxim, acting as our sales agent.

Sales of our Class A ordinary shares, if any, under this prospectus supplement may be made at market prices by any method permitted by law that are deemed an "at the market offering" as defined in Rule 415(a)(4) under the Securities Act of 1933, as amended (the "Securities Act").
