- ADT (NYSE:ADT) has launched a secondary public offering of 71M shares held by affiliates of Apollo Global Management.
- Underwriters have a 30-day option to purchase an additional 10.65M shares from the selling stockholders.
- ADT will not receive any proceeds from the offering.
- The company plans to repurchase ~11M shares from underwriters concurrently, using the remaining capacity of its $500M buyback program.
- Underwriters will not receive fees on the shares ADT repurchases.
- ADT shares down 7.2% post-market on Thursday.
