reAlpha Tech (NASDAQ:AIRE) has entered into agreements to sell 14.29M shares of common stock at $0.35/share in a registered direct offering.
In a concurrent private placement, reAlpha will issue unregistered warrants to purchase an equal number of shares at the same $0.35 exercise price.
The warrants will be immediately exercisable and will expire five years after the effective date of the registration statement covering resale.
The offering is expected to close on or about July 22, 2025.
Gross proceeds are expected to be ~$5M.
reAlpha plans to use the net proceeds for working capital and general corporate purposes, including potential debt repayment, acquisitions, capital spending, and cryptocurrency purchases.
AIRE shares fall 54% post-market on Monday.
