NorthIsle Copper and Gold (TSXV:NCX:CA) on Wednesday said it has entered into an agreement with Paradigm Capital, in connection with a ”best efforts” private placement financing for total proceeds of up to about $25M.
The agreement consists of up to 9.33M common shares of the company that qualify as “flow-through shares” to be issued to subscribers at a price of $1.6065 per CFT share and up to 9.52M common shares of the company at a price of $1.05 per common share.
The offering is anticipated to include participation from new and existing fundamental institutional investors and existing cornerstone shareholders.
Concurrent to the brokered offering, the company will conduct a non-brokered private placement of 4.76M non-FT shares at a price of $1.05 per common share to raise up to C$5M.
Wheaton Precious Metals has indicated its intention to subscribe in the non-brokered offering.
Closing is expected to occur on or about August 8, 2025.
