Bright Scholar Education收到不具约束力的私人提案

- Bright Scholar Education (NYSE:BEDU) said it has received a preliminary non-binding proposal letter.
- The letter is from its chair, Hongru Zhou, CEO, Ruolei Niu, and several of its shareholders, including Excellence Education, Ultimate Wise, and Sure Brilliant Global.
- The proposal is for the acquisition of the outstanding Class A shares of the firm, including Class A shares represented by American depositary shares that are not already beneficially owned by the members of the buyers group, for $0.50 apiece (or $2.00 per ADS)
- The deal price is in cash, and the buyer group has proposed to take the group private as part of the deal.
- The proposed deal is expected to be funded with equity and/or debt capital by the buyer group.
- The board expects to form a special committee of independent and disinterested directors to consider the proposal.
