Apollo基金,Rettig完成94.53%收购Purmo

- Apollo Global Management (NYSE:APO) said on Friday that certain of its funds, together with the strategic minority co-investor Rettig, completed a 94.53% equity ownership stake acquisition of Purmo Group.
- Purmo is a sustainable indoor-climate solutions provider.
- The funds are associated with APO's Clean Transition Equity strategy, and the acquisition was carried out through the special purpose vehicle, Project Grand Bidco.
- Purmo shareholders, other than Rettig, were set to receive €11.06 in cash for each C share (including F shares eligible for conversion into C shares), whereas the price paid to Rettig is €10.53 for each C share.
- The price paid for each F share ineligible for conversion into C shares is €6.75.
- Before the transaction, Rettig was the majority shareholder in Purmo.
- The company said it will look to acquire the remaining outstanding shares and delist Purmo from the Nasdaq Helsinki Stock Exchange.
- Apollo funds will own 80% and Rettig 20% of Purmo.
