Guess? Insiders Sell US$21m Of Stock, Possibly Signalling Caution

The fact that multiple Guess?, Inc. (NYSE:GES) insiders offloaded a considerable amount of shares over the past year could have raised some eyebrows amongst investors. Knowing whether insiders are buying is usually more helpful when evaluating insider transactions, as insider selling can have various explanations. However, if numerous insiders are selling, shareholders should investigate more.

Although we don't think shareholders should simply follow insider transactions, logic dictates you should pay some attention to whether insiders are buying or selling shares.

The Last 12 Months Of Insider Transactions At Guess?

The insider, Maurice Marciano, made the biggest insider sale in the last 12 months. That single transaction was for US$14m worth of shares at a price of US$23.55 each. That means that an insider was selling shares at slightly below the current price (US$30.41). As a general rule we consider it to be discouraging when insiders are selling below the current price, because it suggests they were happy with a lower valuation. While insider selling is not a positive sign, we can't be sure if it does mean insiders think the shares are fully valued, so it's only a weak sign. It is worth noting that this sale was only 5.4% of Maurice Marciano's holding.

Insider Ownership Of Guess?

For a common shareholder, it is worth checking how many shares are held by company insiders. A high insider ownership often makes company leadership more mindful of shareholder interests. Guess? insiders own 25% of the company, currently worth about US$411m based on the recent share price. I like to see this level of insider ownership, because it increases the chances that management are thinking about the best interests of shareholders.

So What Does This Data Suggest About Guess? Insiders?

There haven't been any insider transactions in the last three months -- that doesn't mean much. While we feel good about high insider ownership of Guess?, we can't say the same about the selling of shares.
