08:01 AM EDT, 06/27/2022 (MT Newswires) -- Stealth BioTherapeutics (MITO) said Monday it received a preliminary non-binding proposal from Morningside Venture Investments on behalf of clients and J. Wood Capital Advisors to acquire all ordinary shares, including American depositary shares, Morningside doesn't own and take the company private.
Under the terms of the offer, Morningside will pay $0.026 per Stealth BioTherapeutics share and $0.313 per ADS. Morningside owns 65% of the clinical-stage biotechnology company.
根据要约条款，晨兴将以每股0.026美元和美国存托股份每股0.313美元的价格收购隐形生物治疗公司的股票。晨兴拥有这家临床阶段生物技术公司65%的股份。
Stealth BioTherapeutics said a previously formed special committee of three independent directors will evaluate the proposal and all strategic alternatives.
