03:26 AM EDT, 06/22/2022 (MT Newswires) -- ProFrac Holding (PFHC) said Tuesday it has agreed to acquire US Well Services (USWS) in a stock-for-stock deal.
Under the terms, US Well Services shareholders will receive 0.0561 shares of class A ProFrac common stock for each US Well Services share they hold.

The transaction is expected to be accretive to 2023 adjusted earnings before interest, taxes, depreciation, and amortization, and to result in $25 million in annual cost synergies. It will also save ProFrac $22.5 million annually in expected license fees to US Well Services over the next four years.
